FloraGO Policies |

- All active members in good standing are entitled to be posted as a FloraGO member and are entitled to send and receive orders through the FloraGO system.

The commission on all orders will be twenty percent (20%) for sending members and eighty percent (80%) to receiving members. This percent applies to all pricing of products posted on the FloraGO system by the members.

For members sending orders:

Member shall explain to customers the conditions, including the following information needed to complete an order in a timely manner: quantity, quality, pricing and that the types of products may vary from one geographic area to another. Also, that second and third choices and/or open-ended orders will provide better service for the customer.

The sending member may collect delivery fees, transmission fee, state and local taxes if charged, in addition to the actual price of the order.

Orders to be sent to a filling FloraGO member will be for the gross amount, including delivery and all other charges.

Sending member to earn twenty percent (20%) commission on all orders sent to filling FloraGO members.

If a member is delinquent or has received poor ratings from other FloraGO members, FloraGO may verbally or in writing request that member to discontinue sending orders through the FloraGO system. If such a request is made by FloraGO, the member agrees to immediately discontinue sending orders through the FloraGO system.

Members receiving orders:

Must notify sending member and recipient of any substitutions.

Substitutions, at all costs, should be avoided.

Immediate notification to sending member in event of a non-delivery.

All receiving members shall fill the order as instructed, for full value (gross amount) plus delivery charges.

Shall not mark orders filled prior to the delivery date.

All FloraGO members are obligated to investigate and settle, to the satisfaction of the consumer, all complaints. If in the event the complaint cannot be settled between all interested parties, call FloraGO customer service at 800-771-5598 and FloraGO will act as monitor. If the leader of the two does not satisfy the consumer, then a dispute will be entered with merchant services.

A FloraGO member agrees to immediately discontinue use of the FloraGO system in the event of suspension or cancellation for delinquency as set out in Paragraph #7 herein. A FloraGO member further agrees to pay monthly installments within. As a FloraGO member agrees to pay monthly fees upon receipt and shall pay all costs incurred by FloraGO pertaining to collection efforts, including court costs, reasonable attorney fees and collection agency fees. And, as a FloraGO member, also agrees in the event of delinquent accounts, to pay thereon not exceeding the amount permitted under law until the same is paid in full.

A FloraGO member needs FloraGO's written consent in order to assign any right, title or interest in their FloraGO membership, which consent will remain within the sole discretion of FloraGO. In the event a member's shop is sold or a change of ownership is anticipated, a FloraGO member must immediately notify FloraGO in writing. Failure to do so will result in the continued obligation of the previous/present owner(s) who originally entered into the membership agreement. Whenever any change, alteration, sale, inheritance, merger, re-division, assignment conveyance or transfer of ownership rights in a FloraGO member shop occurs, FloraGO reserves the right to require the new owner(s) to re-apply by completing a FloraGO membership application including, but not limited to, a merchant account application and to pay any charges that occur from the change over. A change of ownership is defined as any change in the composition of individuals, group of individuals or legal entity who own a FloraGO membership. A change of ownership includes, but is not limited to, a transfer, sale, merger, re-division, alteration, assignment, conveyance or inheritance of ownership rights in a corporation, partnership, company or other legal entity that owns a FloraGO membership. Once a change of ownership occurs as described above, upon FloraGO's acceptance of the new owners offer to become a FloraGO member, FloraGO will assign a new merchant/membership number to the new owner(s) whenever feasible or otherwise requested. It is the responsibility of the new owner(s) and previous owner(s) to resolve any disputes occurring from intermingling of funds as a result of this change of ownership.

There will be a delinquent charge of ten dollars ($10.00) or two and one-half percent (2.5%) of the balance, whichever is greater, subject to state law, if payment is not received by FloraGO on or before the monthly anniversary date due to return from the merchant service company. If a member's payment is returned, the member may be cancelled forthwith, without notice, at the option of FloraGO with a thirty-nine dollar ($39.00) fee charged to the member's account.

The FloraGO subscription agreement is non-transferable by the FloraGO member, except as provide by in paragraph #7 and is entered into in the State of Florida and governed by the laws of the State of Florida. Either party may terminate the subscription agreement without cause, upon sixty (60) days written notice, given to the other at the last known address of said party.
